Item 1.01 Entry into a Material Definitive Agreement.
At a meeting of the Board of Directors (the Board) of Sealed Air Corporation (the Corporation) held on December 16, 2004, the Board set the amount of the Annual Retainer (as defined in the Corporations 2002 Stock Plan for Non-Employee Directors) to be paid to non-employee directors of the Corporation who are elected at the 2005 Annual Meeting of Stockholders at $60,000. This is the same retainer amount that was earned by a non-employee director of the Corporation who was elected at the Corporations 2002 through 2004 annual meetings. The other compensation arrangements for non-employee directors of the Corporation remain as previously reported in the Corporations proxy statement for its 2004 annual meeting. A copy of the Boards adopting resolution is included as Exhibit 10 to this report and is incorporated herein by reference.
